About the OGV. At the same file size Theora looks clearly worse than H.264, so re-encoding an old OGV will not recover detail that was never captured.
About the AC3. Playing a 5.1 AC3 track on stereo speakers can leave dialogue almost inaudible, because the centre channel carrying it is not being mixed in. Downmixing to stereo during conversion fixes that.
